BY-LAWS of North State Barrel Racing Association, a Non-Profit Organization

ARTICLE I - ORGANIZATION

  1. The name of the organization shall be North State Barrel Racing Association. referred to from here on as the NSBRA.
  2. The NSBRA is a non-profit organization existing for the purposes of providing and promoting consistent competition to members of the NSBRA.

ARTICLE II – PURPOSES

  1. To provide fair levels of competition in the way of different categories so that each member’s horse competes with others at his or her own ability.
  2. To encourage the sport of barrel racing in Northern California.
  3. To provide it’s members a final competition with worthy awards at the end of a competitive season.
  4. In the event of dissolution of this association, all assets of the NSBRA shall be disbursed to pay, or make provisions to pay, all liabilities of the NSBRA.

ARTICLE III – MEMBERSHIP

  1. Membership in this organization shall be open to all who meet eligibility
  2. requirements covered in the official NSBRA rulebook.
  3. A quorum of the membership is made of majority of the active membership.
  4. A failure to vote by a member in good standing shall be an affirmative vote.

ARTICLE IV – MEETINGS

  1. 1. Meetings shall be held monthly. The secretary shall notify the membership of meeting time and place.
  2. 2. All meetings will be conducted using Roberts Rules of Order as a guide.

ARTICLE VII – GOVERNING BODY

  1. The governing body of the NSBRA shall be the Board of Directors. The Board of Directors shall consist of President, Vice-President, Secretary, Treasurer, Membership/Points-keeper, Arena director, Publicity director, and Website/Newsletter director.
    1. A. The Board of Directors shall serve a term of one (1) year.
    2. The Board of Directors shall be elected by the membership. A plurality shall elect.
    3. Any director maybe removed at any time by a 2/3 majority vote of the membership.
    4. Any director, who misses 2 consecutive meetings without just cause or approval from the BOD, will be removed at the next scheduled meeting.
    5. Vacancies as a result of death, resignation, removal, disqualification, or otherwise maybe filled by the BOD for the remainder of the term.
    6. The BOD shall have control and management of the affairs of the NSBRA. This shall include enforcement of the official NSBRA rulebook.
    7. A quorum shall be present when a majority of the BOD is present.
    8. Each director shall have one vote.
    9. The BOD may make such rules as deemed necessary to cover it’s meetings.

ARTICLE VIII – OFFICERS

  1. The duties of Officers shall be covered in the official NSBRA rulebook.

ARTICLE XII – AMENDMENTS

  1. These By-Laws maybe amended by a 2/3 vote of the active members.
  2. Active members are defined as those members attending 60% of NSBRA monthly meetings throughout the current year. A member unable to physically attend the monthly meeting maybe deemed “active” by written communication to the BOD addressing concerns, issues and operations of the NSBRA to be discussed or reviewed at the monthly meetings.

ARTICLE XIII – INSURANCE

  1. The NSBRA shall maintain at all times a one million dollar general liability Policy. Every arena used for NSBRA purposes shall be provided a certificate of additional insured. All Directors shall be held harmless from any personal exposure for any and all claims that maybe lodged against the NSBRA for any damages, injuries or losses. BOD are volunteers and share no personal economic benefit from said position and therefore shall not have any personal monetary responsibility throughout their term.
